The User, or Supplier Member, shall pay the charges to become a Supplier Member, or renew their membership, during or on expiry of their trial period, during or on expiry of that month’s membership, or during or on expiry of that year’s membership.

Manufacturing Network may at any time, without limiting its other rights or remedies, set off any amount owing to it by the Member against any amount payable by Manufacturing Network to the Member.

Yearly Subscribers, Monthly Subscribers and Lifetime Members are eligible for free profile reviews carried out by Manufacturing Network.

If Yearly Subscribers and Monthly Subscribers have been granted a free profile review and have completed their profiles to an acceptable level but have not, in the reasonable opinion of Manufacturing Network, seen a return on their investment of Membership, they may be entitled, at the sole discretion of Manufacturing Network, to compensation.

The compensation shall take the form of the Yearly Subscriber or Monthly Subscriber being granted a further period of free Membership.

If Lifetime Members have been granted a free profile review and have completed their profiles to an acceptable level but have not, in the reasonable opinion of Manufacturing Network, seen a return on their investment of Membership, they may be entitled, in the sole discretion of Manufacturing Network, to a refund on their Membership.

Without limiting its other rights or remedies, Manufacturing Network may terminate the Membership by giving the Member 14 days' written notice if:

  • the Member (being an individual) is the subject of a bankruptcy petition or order;

  • a creditor or encumbrancer of the Member attaches or takes possession of, or a distress, execution, sequestration or other such process is levied or enforced on or sued against, the whole or any part of its assets and such attachment or process is not discharged within 14 days;

  • an application is made to court, or an order is made, for the appointment of an administrator or if a notice of intention to appoint an administrator is given or if an administrator is appointed over the Member (being a company);

  • the holder of a qualifying floating charge over the assets of that Member (being a company) has become entitled to appoint or has appointed an administrative receiver;

  • a person becomes entitled to appoint a receiver over the assets of the Member or a receiver is appointed over the assets of the Member;

  • any event occurs or proceeding is taken with respect to the other party in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned above;

  • the Member suspends or ceases, or threatens to suspend or cease, to carry on all or a substantial part of its business;

  • the Member (being an individual) dies or, by reason of illness or incapacity (whether mental or physical), is incapable of managing his own affairs or becomes a patient under any mental health legislation.

Without limiting its other rights or remedies, Manufacturing Network may terminate the Membership with immediate effect by giving written notice to the Member if the Member fails to pay any amount due on the due date for payment and fails to pay all outstanding amounts within 14 days after being notified in writing to do so.

Without limiting its other rights or remedies, Manufacturing Network may suspend provision of the Website if the Customer becomes subject to any of the events listed above, or Manufacturing Network reasonably believes that the Member is about to become subject to any of them, or if the Member fails to pay any amount due under this Contract on the due date for payment.

On termination of the Membership for any reason:

  • the Member shall immediately pay to Manufacturing Network all of its outstanding unpaid invoices;

Manufacturing Network shall not be liable to the Member as a result of any delay or failure to perform its obligations under the Terms as a result of a Force Majeure Event.

If the Force Majeure Event prevents Manufacturing Network from providing the Website for more than four weeks, Manufacturing Network shall, without limiting its other rights or remedies, have the right to terminate the Membership immediately by giving written notice to the Member.

Manufacturing Network may from time to time provide interactive services on the Website, including, without limitation:

  • chat rooms;

(together the Interactive Services).

Where Manufacturing Network provides any Interactive Service, it will provide clear information to you about the kind of service offered, if it is moderated and what form of moderation is used (including whether it is human or technical).

Manufacturing Network take reasonable steps to assess any possible risks for Users (and in particular, for children) from third parties when they use any Interactive Service provided on the Website, and it will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks.

However, Manufacturing Network is under no obligation to oversee, monitor or moderate any Interactive Service it provides on the Website, and Manufacturing Network expressly excludes its liability for any loss or damage arising from the use of any Interactive Service by a User in contravention of its content standards, whether the service is moderated or not.

The use of any of Manufacturing Network’s Interactive Services by a minor is subject to the consent of their parent or guardian. Minors who are using any Interactive Service should be made aware of the potential risks to them.

Where Manufacturing Network moderates an Interactive Service, it will normally provide you with a means of contacting the moderator, should a concern or difficulty arise.

  • The Member shall not, without the prior written consent of Manufacturing Network, assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any or all of its rights or obligations.

Severance. If any provision or part-provision of the Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Terms.

Waiver. A waiver of any right under the Terms or law is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by a party in exercising any right or remedy provided under the Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict its further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.

No partnership or agency. Nothing in the Terms is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, nor constitute either party the agent of the other for any purpose. Neither party shall have authority to act as agent for, or to bind, the other party in any way.
